Enovation companies in the UK to merge from 1 Jan 2022   

We wish to inform you about the imminent merger of the two companies in the UK which are wholly owned by the Enovation Group: Verklizan Ltd and E.Novation UK Ltd, scheduled for 1 Jan 2022.

Introduction
Verklizan Ltd sells, installs and supports Enovation Group so ware products focused on care, with the primary product being the UMO so ware platform. This is provided to customers who run 24/7 telecare monitoring centres, typically local authorities, housing associations and private companies. Verklizan Ltd has been established since 2007 and is based in Haslingden, Lancashire.

E.Novation UK Ltd sells, installs and supports Enovation Group so ware and third party products focused on health, with the primary product being Cloverleaf integration so ware. This is provided to customers in the health sector such as hospitals. E.Novation UK Ltd has been established since 2001 and is based in Leatherhead, Surrey.

Both companies

  • are wholly owned by Enovation Group, based in The Netherlands
  • have been established for many years
  • are trading with the name of “Enovation”
  • have a similar turnover
  • have a similar number of staff
  • are accredited via the Enovation Group to the same ISO27001 and ISO9001 standards
  • have grown significantly over the last few years: the outlook is bright!

Enovation Group, based in The Netherlands, is “your independent, experienced and reliable guide for collaboration and eHealth”, providing a platform of integrated software solutions for the health and care sector, focusing on monitoring software, secure communications and integration.

Why merge the two companies?
Enovation Group has owned E.Novation UK Ltd since it was established in 2001 and acquired Verklizan Ltd in 2019: merging the two businesses is the natural next step, for the following reasons:

  1. To make our presence in the UK market clear, with just one Enovation company offering a broad range of integrated products
  2. To have one team, with one management structure, enabling resources to be shared
  3. To simplify the combined business, with one set of management accounts, one accounting auditor and one VAT registration

How will the merger happen?

  • E.Novation UK Ltd will acquire the assets, staff, customer contracts and supplier contracts of Verklizan Ltd as of 1 January 2022.
  • The acquisition is this way around due to E.Novation UK Ltd already having “Enovation” as the company name and being longer established in the UK than Verklizan Ltd.
  • Paul Shead, already the Managing Director of Verklizan Ltd and a Director of E.Novation UK Ltd, will have overall responsibility for the merged business.
  • E.Novation UK Ltd will continue with office premises in Haslingden, and office premises in Leatherhead.

What does this mean for our customers?
There will be no change in the services or products that our customers receive:

  • the same people will be providing the same 24/7 support
  • the same people will remain your contacts for commercial and technical queries
  • there will be no change to email addresses or contact numbers

We will be assigning existing contracts with Customers and Suppliers from Verklizan Ltd to E.Novation UK on 1 Jan 2022, or as soon after this date as possible.

We look forward to being one organisation in the UK, combining the strengths of two successful businesses and providing an integrated suite of software products for health, care and housing.
